Terms of Service

1. Acceptance of Terms

By accessing or using Uplync CRM ("Service", "Application", or "Platform"), whether via web browser, automated API sync, or authorized integration, you agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into this Agreement on behalf of a company or legal entity, you represent that you possess the requisite authority to bind such entity.

2. Accounts, Workspaces & Security

To access the CRM, you must register a customer tenant workspace or be invited as an authorized team member:

• Credential Security: You are responsible for safeguarding your login credentials, multi-factor OTP tokens, and OAuth keys. You must immediately notify our administration of any unauthorized access or security breach.
• Role-Based Access: Workspace administrators are responsible for designating appropriate roles (Customer Admin, Sales Manager, Sales Representative) and setting user permissions within their organization.
• Accuracy: All registration information provided regarding your organization, business email, and company identity must be accurate, current, and complete.

You agree to use Uplync CRM exclusively for legitimate business sales, deal pipeline execution, and professional relationship management. You strictly agree NOT to:

4. Third-Party Services, Google Workspace & Twilio

Uplync CRM interfaces with authorized third-party service providers including Google Workspace (Google Sheets, Google Calendar, Google Meet, and Gmail) and Twilio Telephony:

• Google Terms Compliance: When enabling Google Workspace integrations, you are also bound by Google Terms of Service. We enforce strict least privilege, requesting only spreadsheets and calendar.events.
• Twilio Telephony & A2P Compliance: When placing voice calls or dispatching SMS via Twilio, you agree to comply with Twilio Acceptable Use Policies, TCPA, and A2P 10DLC registration requirements. Robocalling or fraudulent dialing is strictly forbidden.
• Permissions & Revocation: You grant Uplync CRM authorization to access specified APIs solely to execute requested sync actions (such as updating CRM spreadsheet tabs, dispatching client emails, and scheduling meetings). You may disconnect integrations anytime.
• Independent Availability: We are not liable for external service outages, carrier network downtime, or third-party rate limit throttles.

5. Data Ownership & Intellectual Property

Your Data is 100% Yours: You retain all right, title, and interest in and to all customer records, prospect leads, pipeline deals, notes, and activity histories ("Customer Data") submitted to the Platform. We claim no ownership over your business data.

Platform IP: Uplync Corp retains all proprietary rights, trademarks, patents, algorithms, interface designs, and code comprising the Uplync CRM application.

6. Subscription Plans & Quotas

Workspaces operate under designated capacity tiers (Starter, Growth, Enterprise). Each tier specifies quota allocations for total active deals, leads, team seats, and communication capabilities. Exceeding assigned quotas may require workspace upgrades to maintain unrestricted syncing and record creation.

7. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, in no event shall Uplync Corp, its developers, or affiliates be liable for any indirect, punitive, incidental, special, or consequential damages, including loss of business profits, data corruption, or operational interruptions resulting from the use or inability to use the platform.

8. Termination & Workspace Closure

You may discontinue your workspace at any time. We reserve the right to suspend or terminate accounts that engage in fraudulent behavior, abuse API quotas, violate the Acceptable Use Policy, or fail to adhere to security requirements. Upon termination, administrators may request a full export of their business records.
